1. Introduction

These Terms and Conditions govern the provision of services by Modus Business Transformation Solutions ("we", "our", "us") to the client ("you", "your"). By purchasing a subscription for up to 500 users, you agree to be bound by these terms for the full contract period of 12 months.

2. Service Overview

• Platform Setup: The platform will be set up and handed over to the client within one week from the start of the contract.
• Subscription: The subscription allows access for up to 500 users, subject to the payment terms outlined below.

3. Contract Period

The subscription is locked into a 12-month contract period, starting from the date of setup and handover.

4. Payment Terms

• The client agrees to pay the subscription fee based on the chosen plan.
• Payment must be made in accordance with the invoicing schedule provided at the beginning of the contract.
• All payments must be completed in GBP (£).

5. VAT Conditions

• All prices quoted are exclusive of VAT.
• VAT will be applied on top of the subscription fee at the prevailing UK rate (currently 20%) and will be clearly indicated on all invoices.

6. Early Termination

• Early exit from the contract is subject to a cancellation fee.
• If you terminate the contract before the 12-month period, you will be liable to pay 50% of the remaining balance of the total invoice amount for the full contract period.

7. Cancellation Policy

• To initiate a cancellation, you must provide written notice at least 30 days before your intended cancellation date.
• The early termination fee will be calculated based on the remaining subscription period and invoiced accordingly.

8. Platform Setup and Delivery

• The platform will be set up and handed over to the client within one week from the contract’s start date.
• Any delay in handover not caused by the client will be addressed, but the 12-month subscription will commence from the originally agreed start date.

9. User Limit

The subscription is capped at a maximum of 500 users. If you exceed this number, additional charges may apply, which will be agreed upon in writing.

10. Liability

We will not be liable for any indirect or consequential losses arising from the use of the platform or services. Our total liability will be limited to the total amount paid under this agreement.

11. Governing Law

These Terms and Conditions are governed by the laws of England and Wales. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Amendments

We reserve the right to amend these Terms and Conditions at any time. Any changes will be communicated to you at least 30 days before they take effect.
